Terms & Conditions
Effective from 24 October 2026.
This is a translation of the Hungarian original. In case of any discrepancy, the Hungarian version prevails.
1. The Service Provider
Island Merchants Ltd., registered office: 3, Advance Business Centre, Triq Guze Flores, SVR 1950 Santa Venera, Malta; EU VAT number: MT30933805; email: info@impulsyan.com; phone: +36 30 153 6533 (the “Service Provider”). “Impulsyan” is a brand name of the Service Provider.
2. Scope and parties
These Terms & Conditions (T&C) apply to services ordered on impulsyan.com or by any other means. The services may be used exclusively by businesses and organisations (the “Client”) for business purposes; no consumer contract is concluded. An individual contract or written offer may deviate from these T&C; in the event of any deviation, the individual agreement prevails.
3. The service
Setting up and operating an AI-powered sales system according to the selected package (lead generation, outreach, automated responses, AI assistant calls, appointment booking, tracking, reporting, digital module). The exact scope, markets and channels are agreed in writing (by email) at the kick-off meeting. The Service Provider does not guarantee any particular result: it does not guarantee that any specific number of leads, meetings or revenue will be achieved.
4. Fees
| Package | Monthly fee (net) | Setup fee | Fixed term | Notice period |
|---|---|---|---|---|
| Scout | €950 | €400 | 6 months | 30 days |
| Pathfinder | €2,250 | – | 12 months | 60 days |
| Ally | from €5,650 | – | 12 months | 90 days |
| Hotel Direct | €1,490 | – | 12 months | 60 days before expiry |
| Hotel Complete | €2,250 | – | 12 months | 60 days before expiry |
| SEO & AI Search | €990 | – | 6 months | 30 days |
Add-ons: hands-on ad management €250 / €400 / €790 per month (depending on the package tier; €250 for hotel packages); new market: custom price, agreed in writing after the assessment; new business line €1,600 / month (Ally); additional language for SEO & AI Search €390 / month. Success fee: for the Ally, 1–3% of the net value of deals closed with the Service Provider’s involvement, with the rate and settlement set out in the individual agreement; for the Pathfinder, a success fee applies only if the Client expressly asks the Service Provider to take part in closing deals and this is recorded in the individual agreement; without such a request, no success fee is charged.
All fees are net fees. For Clients established in an EU member state other than Malta and holding a valid EU VAT number, the Service Provider invoices under the reverse charge mechanism (Articles 44 and 196 of Directive 2006/112/EC). In all other cases, including Clients established in Malta, Maltese VAT (18%) is charged. The advertising budget is paid by the Client directly to the advertising platform. Usage-based tool costs (e.g. AI call minutes, software licences) are invoiced separately, subject to prior approval.
5. Ordering and payment
By submitting an online order, the Client makes an offer; the contract is concluded upon the Service Provider’s confirmation email. The Service Provider issues a pro-forma invoice, which is valid for 8 days. Payment is made by bank transfer (in advance), quoting the order number in the payment reference. Work begins with the kick-off meeting once the fee has been received. Subsequent monthly fees are payable monthly in advance, by the due date stated on the invoice.
If the parties cannot agree on the exact scope of the service at the kick-off meeting and the Service Provider has not yet started work, the Service Provider will refund the amount paid within 8 days and the contract terminates.
6. Term and termination
The contract is concluded for the fixed term specified for the package, after which it renews automatically on a monthly basis. The hotel packages (Hotel Direct, Hotel Complete) are an exception: upon expiry of the fixed term, these contracts renew automatically for a further fixed term of 12 months unless either party gives written notice (by email) at least 60 days before expiry that it does not wish to continue. After the fixed term has expired, either party may terminate the contract in writing (by email) subject to the notice period specified for the package. In the event of a material breach of contract (e.g. payment delay exceeding 30 days), termination with immediate effect is permitted.
7. Client’s cooperation
The Client provides the necessary access (website, advertising account, calendar), approves outgoing messages and scripts, and provides accurate offers and information that may lawfully be used. Offers, prices and commitments towards the Client’s own customers are made exclusively by the Client.
8. Data protection and data processing
The Service Provider processes the personal data of the Client’s customers and leads as a processor, on the basis of a data processing agreement concluded between the parties (Article 28 GDPR). The Service Provider designs outreach in line with each country’s e-commerce and direct marketing rules. At the start of each conversation, the AI assistant discloses that the conversation is being conducted with artificial intelligence.
9. Intellectual property and data
Content, campaigns and data created for the Client become the property of the Client once the fee has been paid. Advertising accounts and customer data remain owned and controlled by the Client. The Service Provider’s general methodology, templates and tools remain with the Service Provider.
10. Liability
Except in cases of wilful misconduct or gross negligence, the Service Provider’s liability is limited to the total fees paid in the 3 months preceding the occurrence of the damage. The Service Provider is not liable for the operation, rule changes or account restrictions of third-party platforms (e.g. advertising systems, telephone service providers).
11. Confidentiality
The parties shall treat as confidential any business information that comes to their knowledge in the course of the contract, for 2 years after the termination of the contract.
12. Governing law and dispute resolution
The contract is governed by Maltese law. The parties shall seek to settle any disputes primarily through negotiation. Contact: info@impulsyan.com.
